Conduct an assessment of laws, administrative issuances, policies and regulations that affect infrastructure / Public-Private Partnership (PPP) projects handled by the team.
- Undertake policy and institutional assessment, including the role of regulatory bodies in the conduct of the Public-Private Partnership (PPP) project, to ascertain the validity and viability of the proposed PPP structure for the project taking into consideration requirements of other related laws.
Undertake PPP project risk analysis, including licensing, permitting, and other legal risks that need to be addressed.
- Assist in the preparation of bidding/tender documents for, as well as conducting the competitive tender of, PPP projects handled by the team.
Assist in the drafting of concession / PPP / Joint Venture (JV) agreements.- Represent clients before the Court of Tax Appeals (CTA), as well as prepare pleadings, and other court filings in relation to tax cases handled by the team.
Prepare detailed technical tax memoranda/advice across a range of tax matters including international transactions, tax treaties, tax reform issues, merger and acquisition, corporate restructuring, and broad tax planning and compliance.
- Secure tax rulings from the Philippine Bureau of Internal Revenue to clarify gray areas in tax laws and to confirm the tax treatment of particular transactions.
Handle tax disputes of clients with taxation authorities which involved preparation of position papers and protest letters and follow-ups and discussions with revenue officers on their findings.- Assist in the business organization, registration, post-registration, expansion, spin-offs, mergers, or closure and represented clients before government agencies such as the Securities and Exchange Commission, Bureau of Internal Revenue, Bangko Sentral ng Pilipinas, Local Government Units, etc.
