- Job Summary:
As a Legal and Compliance Officer, your primary responsibility is to ensure that the company complies with all the relevant laws and regulations in the Philippines. Your role is crucial in safeguarding the company's integrity and reputation by meticulous legal and compliance management.
Ensure all related regulatory laws, rules, and regulations guided by the Security and Exchange Commission (SEC) and other regulatory bodies are monitored, cascaded, and implemented by the company.- Drafting of corporate documents in compliance with SEC regulations.
Filing of corporate documents to SEC and other relevant regulatory bodies.
- Drafting, reviewing, and negotiating various legal documents, contracts, and agreements for all kinds of business operations (e.g. NDAs, Service Agreements, Employment Agreements, Loan Agreements, etc.).
Monitoring and ensuring compliance with annual filing of requirements on government agencies.- Develop and execute compliance policies and procedures adapted to local regulatory requirements.
Conduct regular risk assessments and compliance audits to assess compliance and identify the areas for improvements.
- Represents the company as legal counsel concerning its business operations.
Maintains corporate governance standards and practices with accordance in the Philippine legal requirements and best practices.- Provides legal advice on corporate matters.
Conduct training for employees on legal and compliance issues to cultivate a culture of compliance within the organization.
- Promote corporate awareness of the compliance policies and procedures.
Performing thorough legal research on various issues related to local corporate law, finance law, and commercial transactions. Also perform research and prepare reports on latest rules and regulations of administrative agencies.- Maintains and updates corporate records and documentation.
Communicate and negotiate with external parties, including regulators, external counsels, counterparties, etc.
- Perform related duties and responsibilities as may be assigned from time to time.
A Juris Doctor / Bachelor's Degree in Law, Finance, Business, Finance or related field graduate.
- Proven experience as a Legal and Compliance Officer in FinTech industry, specifically in Financial / Lending Companies.
In-depth knowledge of BSP and SEC regulations, AML laws, and relevant fintech compliance standards- Strong analytical and organizational skills
Excellent communication and interpersonal skills
- Ability to work independently and make sound legal decisions.
