Job PurposeThe Legal and Compliance Associate plays a key role in supporting AACI's legal framework and ensuring organizational compliance. This position is crucial for managing legal risks, advising on legal matters, and maintaining the integrity of operations. Through strategic guidance and operational support, the associate enhances the company's legal and regulatory standing, directly contributing to AACI's operational excellence and ethical business practices.
In this role, you will work closely with the Legal Counsel, focusing on compliance, contractual negotiations, and labor law. Responsibilities include managing legal documentation, advising on the legal aspects of business decisions, and handling disputes effectively. You will also liaise with external partners, offering specialized legal advice to foster strong business relationships and ensure legal compliance. The position demands a proactive approach to legal challenges, emphasizing problem-solving and strategic thinking to support AACI's goals.
- Key Result Areas and Functions
Draft, review, and amend commercial agreements, legal letters, and other documents to ensure alignment with legal standards and organizational goals.
- Verify compliance of contracts with legal, regulatory, and organizational requirements to minimize risk.
Advise on contractual risks and legal implications of business deals.- Organize and maintain contract documentation for efficient access and reference.
- II. Employee Relations and Labor Compliance
Advise on legal aspects concerning labor cases escalated to the NLRC, ensuring strategic legal positioning and compliance.- Analyze and interpret labor laws to provide clear legal opinions on cases requiring escalation.
Formulate legal arguments and draft pleadings for labor disputes presented before judicial or quasi-judicial bodies.
- Evaluate complex labor issues, providing legal insight to guide the resolution process and support organizational policy development, and ensuring HR practices are legally compliant.
Represent the company in DOLE activities, SENA conferences, and similar engagements to ensure the organization's compliance and representation.
- III. Regulatory Strategy and Legal Integration
Review and advise on legal requirements for licensing, permitting, and regulatory compliance to assist the Compliance Department.- Continuously monitor compliance with statutory obligations including but not limited to obligations under SEC, BIR, FDA, DAR, etc.
Guide on regulatory compliance, highlighting legal obligations and implications for the organization.
- Collaborate with regulatory bodies to advocate for the organization's compliance interests effectively.
Coordinate legal and compliance efforts to achieve integrated regulatory strategies.
- IV. Legal Research and Analysis
Investigate legal precedents and regulatory updates to support organizational legal strategies.- Analyze statutory changes and legal trends to anticipate their impact on the organization.
Compile and present legal findings to inform and advise on potential legal actions.
- Assess new business proposals for legal viability and compliance with existing laws.
Monitor industry-specific legal developments to maintain organizational competitive edge and legal compliance.
- V. Fractional Legal Advisory for External Companies
Allocate targeted legal support to associated external companies, functioning as a fractional legal advisor.- Simplify complex legal guidance for external entities, ensuring they receive concise and actionable legal insights.
Prioritize legal tasks and queries from external companies to provide efficient and impactful legal support.
- Facilitate swift legal assessments for external entities, offering strategic advice on diverse legal matters.
Harmonize the legal support offered to external companies with their strategic business needs, ensuring legal services are rendered in a time-efficient manner.
- A. Education and Training
Minimum: Law graduate (either Bachelor of Laws or Juris Doctor degree program).
- Preferred: Passer of the Philippine Bar Examination.
Comprehensive understanding of Philippine employment laws, Supreme Court issuances, Republic Acts related to labor, and DOLE policies and procedures.
- B. Knowledge and Experience
Less than one year of working experience in the related field is required for this position.- Background in documentation management, employment law, and regulatory compliance is beneficial.
Experience in legal research and analysis is desirable.
