The Senior Corporate Counsel will serve as a key legal advisor on a wide range of substantive areas, with a focus on complex contract negotiations, corporate housekeeping, regulatory compliance, and strategic business initiatives. This role requires a seasoned legal professional who can effectively manage multiple projects and provide counsel to senior management.

- Manage complex contract negotiations with key customers, vendors, and partners.
- Provide regulatory advice related to the Company's business activities and corporate initiatives.
- Offer legal advice to senior management on strategic and transactional matters.
- Handle litigation management, including responding to and managing customer, supplier, and third-party disputes.
- Counsel on employment law, intellectual property, data privacy, and taxation matters.
- Develop and implement legal strategies that align with business objectives.
- Manage corporate compliance programs and represent the company in legal proceedings.
- Preparing and reviewing corporate/business documents including, but not limited to, affidavits, sworn statements, internal policies and lease agreements to ensure compliance with all legal requirements.
- Preparing special contracts such as management contracts, joint venture agreements, franchise agreements, sole distributorship or supply agreements and other such contracts which may require special knowledge, research and preparation.
- Conducting research on unique legal issues impacting the Company by identifying applicable statutes, judicial decisions and codes.
- Remaining up to date with regard to legislative changes that may affect the Company and its affiliates.
- And such other facets of legal practice relevant to the business operations of the Company
Your Success Profile includes:
- Minimum 5-7 years of combined training in a law firm and in-house experience.
- Experience with intellectual property matters, including licensing, trademarks, patents, and copyright.
- JD degree from any law school.
- Admitted in good standing to practice law in the Philippines.
- Excellent organizational skills, with the ability to manage multiple projects at once and meet deadlines.
- Strong communication skills, with the ability to convey complex legal concepts to a broad audience.
- Demonstrated competency in drafting legal documents, contract terms, and legal memoranda.
- In-house legal department experience at an outsourcing company is preferred.
- Experience in negotiating service contracts, such as outsourcing agreements, vendor contracts, lease contracts, to name a few.
- With experience handling people (managerial experience)
- Ability to train both legal and non-legal staff on corporate legal/contract policies.
