Provide legal opinions on matters related to civil, criminal (fraud), or regulatory law impacting the bank's operations.
Draft affidavits, petitions, contracts, and complaints for the bank's commercial operations, ensuring compliance with relevant laws and internal policies.
Represent the bank as legal counsel in court hearings and litigation concerning commercial operations, including judicial and extrajudicial foreclosures, fraud cases, and more.
Ensure the bank's adherence to regulations set by Bangko Sentral ng Pilipinas (BSP), Securities and Exchange Commission (SEC), and other relevant agencies.
Prepare and maintain legal documents and reports for submission to regulatory bodies and ensure governance in board meetings and corporate policies.
Work with the Corporate Secretary to prepare documents for Board and Committee meetings, collate board materials, and manage related communications.
Coordinate meetings, seminars, and travel arrangements for the President, CEO, and Board members, as well as support the preparation of reports and documentation.
Oversee the filing, maintenance, and safekeeping of legal documents, including BSP correspondences, resolutions, and minutes, adhering to the bank's Records Retention Policy.
Manage a small legal team, guiding and developing staff to support legal operations and compliance requirements.
Qualifications:
Bachelor's degree in law, with an active license to practice in the Philippines.
Minimum of 5 years in a legal role, ideally in banking, financial services, FinCos, law firms, or FMCG sectors.
Active membership in the Integrated Bar of the Philippines (IBP) with a valid Notarial Commission.
Proficient in civil, criminal (fraud), regulatory law, and corporate governance.
Strong experience in drafting legal documents, contracts, and agreements.
Familiarity with BSP and SEC regulations, as well as other relevant government agencies.
Leadership: Experience in managing a small legal team, with a focus on team development and legal operations.
Strong analytical, problem solving, negotiation, and litigation skills, with excellent written and verbal communication.
High ethical standards, entrepreneurial mindset, and the ability to work independently while supporting cross functional teams.
