Qualifications:
- Post Qualified Experience: 5 to 6 years of post-qualified experience
- Degree in Law from a recognized university in the Republic of Philippines
- Passed the PHILSAT and Bar Exam leading to admission as an Attorney in the Republic of the Philippines.
- Fluent in written and verbal communication in local Tagalog and English language. Mastery of other ASEAN languages will be an added advantage.
What you'll do:
- Reports to Head of Legal (APAC) and/or functionally to the country leader of Philippines.
- Serve as focal point of contact on all legal/compliance and/or governance matters in Philippines.
- Review, draft and advise on all types of commercial agreements, legal documents and M&A documents. Example: experience in procurement contracts, JV contracts, tender strategies, business and finance negotiation.
- Provide strategic legal research and advice to stakeholders on all legal and general compliance matters including HR and Tax matters.
- Managing the appointment and progress of appointed external lawyer for litigation cases and/or other corporate matters.
- Managing external corporate secretary team to ensure proper governance compliance of Noventiq Philippines.
- Implementing legal and/or compliance processes/policies introduced by Parent Company that befits Philippines business culture.
- Custodian and proper management of executed contracts with Vendors, customers and/or other 3rd parties.
- Occasionally, assist in other legal matters within APAC region (if required) as part of growth development programmed.
- Any other matters that is relevant to the position of Corporate Counsel (Philippines).
Must Have experience:
- Drafting complex agreements
- Negotiation skills
- Litigation management
- Agile and able to perform in a fast-paced environment.
- Corporate Governance (Secretarial)
- Familiar with key local compliance laws such as Anti-Bribery and Anti-Corruption, Data Privacy, Cyber-security and other regulatory laws.
Good to have experience:
- Tax and Finance knowledge (Basic level and above).
- Certified Data Protection Officer.
- Corporate management experience.
